Who We Are

Riiwards Tech LLC (“Riiwards”, “we” or “us”) is a company incorporated in the United States that operates applications and technology enabling participating businesses to offer loyalty programs, birthday clubs, rewards clubs, flash sales, promotional campaigns, and related customer engagement programs directly to consumers through web, mobile, and app-like experiences experiences.

Our services include platforms and consumer-facing features such as Birthday Club, Rewards Club, Rewards Wallet, FlashSell, reward pages, signup forms, verification flows, account access tools, and related communications and promotional features (collectively, the “Riiwards Services”).

Riiwards provides the underlying platform, account tools, communication technology, and related consumer-facing services. Unless expressly stated otherwise, Riiwards does not itself offer, sell, redeem, or fulfill rewards, discounts, promotions, products, services, or other benefits made available by participating businesses.

These Consumer Terms & Conditions (“Terms”) govern your use of the Riiwards Services as a consumer, including your participation in birthday clubs, rewards clubs, flash sale promotions, loyalty programs, promotional campaigns, and other customer engagement programs made available by participating businesses through the Riiwards platform (each a “Club”).

1. Participating Businesses and Clubs

When you join a Club, you enroll in a customer engagement program operated by the participating business that offers the Club (“Business”). You may choose to join one or more Clubs operated by different Businesses.

To participate in a Club, access rewards, receive communications, or use related account features, you may be asked to provide personal data, such as your name, email address, phone number, birthday information, or other information requested as part of the signup, verification, reward, or account process. Such data will be processed in accordance with the Riiwards Privacy Policy.

Each Business is responsible for the content, terms, availability, redemption rules, and fulfillment of its own offers, rewards, discounts, flash sales, products, services, and other benefits.

From time to time, Riiwards may present you with information about additional Clubs, rewards, promotions, or offers from other Businesses, including through Rewards Wallet or other Riiwards Services. These features may help you discover Clubs, rewards, promotions, or offers that may be relevant to you.

We will not share your personal data with another Business merely because we show you information about that Business’s Club, reward, promotion, or offer. Personal data will be shared with a Business only as described in the Privacy Policy, such as where you choose to join that Business’s Club, participate in its campaign, redeem its reward, or otherwise interact with that Business through the Riiwards Services.

2. Eligibility

The Riiwards Services, including Rewards Wallet and participation in any Club, are intended only for individuals who are at least eighteen (18) years old. By using the Riiwards Services, creating or using a Rewards Wallet account, or joining a Club, you confirm that you are at least eighteen (18) years old.

You may provide information about another individual only where you have the legal authority to do so and where such use is permitted by the applicable Riiwards Services, Club, or feature.

If we become aware that a person under eighteen (18) has created or used an account or joined a Club directly, we may suspend or delete the related account or Club membership. If we become aware that personal data about another individual has been submitted without appropriate authorization, we may delete or limit use of that information, subject to applicable law and our  Privacy Policy.

3. Signup, Account, and Profile Information

When joining a Club, creating or using an account, accessing rewards, or using related Riiwards Services, you agree to provide accurate and truthful information and to keep such information reasonably up to date.

This may include contact information, such as your email address or phone number, and other information requested as part of the signup, verification, reward, profile, or account process.

Riiwards or the applicable Business may use this information to verify your signup, manage your Club participation, provide access to rewards, send permitted communications, and operate related account features.

Providing false, misleading, outdated, or invalid information may result in suspension, limitation, or termination of your access to one or more Clubs, rewards, account features, or Riiwards Services.

4. Communications

By joining a Club, using the Riiwards Services, or creating or using an account, Riiwards and participating Businesses may send you communications where permitted by applicable law, your communication preferences, and any consents you have provided.

These communications may include service-related messages, transactional messages, reward notifications, promotional messages, and information about Clubs, rewards, promotions, or offers that may be relevant to you, subject to applicable law and your communication preferences.

You may opt out of marketing or promotional messages at any time by using the unsubscribe link, replying STOP to SMS messages, or following other opt-out instructions provided in the message. Message and data rates may apply to SMS messages.

Please note that opting out of marketing or promotional messages may not stop service-related, transactional, verification, security, account, or administrative messages where such messages are necessary to operate the applicable Club, reward, account, or Riiwards Service.

5. Privacy and Data Use

Your personal data is processed in accordance with the Privacy Policy, which forms an integral part of these Terms.

Riiwards may process personal data to provide, operate, secure, support, and improve the Riiwards Services, including Club participation, rewards, communications, account features, consumer access tools, fraud prevention, service integrity, support, and related purposes described in the Privacy Policy.

Riiwards shares personal data with participating Businesses only in connection with the Clubs, rewards, offers, campaigns, or services you choose to join, use, redeem, or otherwise interact with, and as otherwise described in the Privacy Policy.

Riiwards does not sell consumer personal data. We also do not share your personal data directly with Businesses whose Clubs, rewards, offers, or campaigns you have not joined or interacted with, unless otherwise permitted by you or required by applicable law.

Where you choose to provide information about another individual through a Riiwards Service, Club, or feature, you confirm that you have the right to do so, and such information will be processed in accordance with the Privacy Policy.

6. Acceptable Use

You agree not to misuse the Riiwards Services, any Club, rewards, reward links, communications, account features, signup forms, verification flows, or redemption features.

You agree that you will not:

• provide false, misleading, or unauthorized information;
• create fake, duplicate, or fraudulent accounts, signups, Club memberships, rewards, or redemptions;
• attempt to redeem, copy, transfer, manipulate, or reuse rewards, reward links, QR codes, promo codes, or redemption features in an unauthorized manner;
• interfere with the operation, security, or integrity of the Riiwards Services or any Club;
• access or attempt to access accounts, data, systems, or features without authorization;
• use bots, scripts, scraping tools, automated methods, or other unauthorized technical means to access or misuse the Riiwards Services;
• use the Riiwards Services in a way that violates applicable law, infringes the rights of others, or harms Riiwards, participating Businesses, or other consumers.

Riiwards may take reasonable steps to prevent, investigate, limit, suspend, or terminate access in cases of suspected misuse, fraud, unauthorized activity, or violation of these Terms.

7. Suspension or Termination

Riiwards may suspend, limit, or terminate your access to one or more Clubs, rewards, account features, communications, or Riiwards Services where reasonably necessary, including in cases of suspected misuse, fraud, unauthorized activity, material violation of these Terms, persistent delivery failures due to invalid contact information, or where required to protect the security, integrity, or operation of the Riiwards Services.

Where practicable, reasonable notice will be provided. However, Riiwards may act without prior notice where immediate action is reasonably necessary to prevent fraud, misuse, security risks, legal exposure, or harm to Riiwards, participating Businesses, or other consumers.

A Business may cancel, suspend, discontinue, or stop using the Riiwards platform for its Club, rewards, offers, or communications. If this happens, your access to that Business’s Club, rewards, offers, communications, or related features may be limited or discontinued.

If you continue to have a Rewards Wallet account, other active Club participation, or another relationship with the Riiwards Services, Riiwards may continue to provide account features, maintain your access to other active Clubs or rewards, and present information about other Clubs, rewards, promotions, or offers that may be relevant to you, subject to the Privacy Policy, applicable law, and your communication preferences.

Any personal data associated with a cancelled, suspended, or discontinued Club will be handled in accordance with the Privacy Policy and applicable law.

8. Rewards Wallet and Account Features

Riiwards may provide account tools, including Rewards Wallet or similar features, that allow you to access rewards, view your Club participation, manage certain profile information, manage communication preferences, or use other features made available through the Riiwards Services.

Some features may require you to create or access an account, verify your email address or phone number, set login credentials, or complete other verification steps. You are responsible for maintaining the confidentiality of your login credentials and for activity that occurs through your account, except where such activity results from Riiwards’ failure to use reasonable security measures.

You agree to provide accurate account information and to keep your contact information reasonably up to date so that we can provide account access, verification, reward, communication, and support features.

Riiwards may limit, suspend, or require additional verification for account access where reasonably necessary to protect account security, prevent fraud or misuse, comply with applicable law, or maintain the integrity of the Riiwards Services.

9. Disclaimer of Warranties

The Riiwards Services, including Rewards Wallet, Clubs, rewards, communications, account features, and related content, are provided on an “as is” and “as available” basis.

Riiwards does not guarantee that the Riiwards Services, any Club, reward, offer, flash sale promotion, communication, account feature, or related content will be uninterrupted, error-free, available at all times, accurate, current, or suitable for your particular needs.

Riiwards does not guarantee the availability, terms, accuracy, redemption, fulfillment, quality, safety, legality, or value of any rewards, offers, discounts, products, services, or benefits provided by participating Businesses. Each Business is responsible for its own offers, rewards, products, services, and fulfillment.

Nothing in these Terms limits or excludes mandatory consumer rights, warranties, remedies, or protections that cannot be limited or excluded under applicable law.

10. Limitation of Liability

To the extent permitted by applicable law, Riiwards will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, loss of opportunity, or loss of expected benefits, arising out of or related to your use of, or inability to use, the Riiwards Services, any Club, reward, offer, promotion, communication, account feature, or related content.

Riiwards is not responsible for any products, services, rewards, discounts, offers, promotions, redemption terms, fulfillment, customer service, or other benefits provided or promised by participating Businesses. Any claim, dispute, or issue relating to a Business’s products, services, rewards, offers, or fulfillment must be addressed directly with that Business.

To the extent permitted by applicable law, Riiwards’ liability for claims arising out of the Riiwards Services will be limited to direct damages actually suffered by you and will not include indirect, incidental, special, consequential, exemplary, or punitive damages.

Nothing in these Terms limits or excludes liability where such limitation or exclusion is not permitted by applicable law, including liability for fraud, intentional misconduct, gross negligence, or mandatory consumer rights that cannot be waived.

11. Changes to These Terms

Riiwards may update these Terms from time to time, including to reflect changes to the Riiwards Services, Clubs, rewards, account features, communications, legal requirements, or business practices.

When we update these Terms, we will publish the updated version on our website or otherwise make it available through the Riiwards Services. The updated Terms will apply from the effective date stated in the updated version.

Where changes are material and where reasonably practicable, we may provide additional notice, such as by email, in-service notice, or other appropriate means.

Your continued use of the Riiwards Services, your Rewards Wallet account, or any Club after the updated Terms become effective means that you accept the updated Terms. Where required by applicable law, we may ask you to accept updated Terms before continuing to use certain Riiwards Services. If you do not agree to the updated Terms, you should stop using the Riiwards Services and any affected Clubs or account features.

12. Governing Law

These Terms are governed by the laws of the State of California, USA.

However, if you reside outside California or outside the United States, nothing in these Terms limits any mandatory consumer protection rights or legal protections that apply to you under the laws of your country or place of residence.
